Terms & Conditions of Sale and Services

These Terms & Conditions govern the sale of goods and the provision of services by Omega Marine (a trading name of Omega Sustainability Ltd, Company No. 15736534, registered in England & Wales) (“we”, “us”, “our”). By placing an order with us, you agree to be bound by these terms.

1. Definitions

  • Consumer means a natural person acting wholly or mainly outside their trade, business, craft or profession.
  • Goods means any physical products supplied by us, including but not limited to stainless steel enclosures and associated items.
  • Services means any consultancy, advisory, design or other non-physical deliverables provided by us.
  • Contract means the legally binding agreement formed when we accept your order for Goods or Services.
  • Order means your request to purchase Goods or Services, whether made online, in writing, or verbally and confirmed by us.

2. Formation of Contract

  • A Contract is formed when we confirm acceptance of your Order in writing (including email), or when we receive payment, whichever occurs first.
  • Any quotations or proposals issued by us are valid only for the period stated therein, or if not stated, for 30 days.

3. Description and Quality

  • We take reasonable care to ensure that descriptions of Goods and Services are accurate. Minor variations in materials, finishes, or specifications may occur as part of the manufacturing or delivery process.
  • We warrant that Goods will be of satisfactory quality, fit for their general purpose, and correspond with their description.
  • Services are provided with reasonable skill and care, based on our experience and the information available to us.

4. Price and Payment

  • The price for Goods or Services shall be as agreed at the time of the Order.
  • Payment terms will be specified at the time of Order. Payment must be made in full prior to dispatch of Goods or completion of Services, unless otherwise agreed in writing.
  • All prices are stated in GBP. Customers are responsible for any bank charges, currency conversion costs, import duties, or taxes arising outside the UK.

5. Delivery and Performance

  • Delivery dates or service timeframes will be confirmed at the time of Order. These are estimates only and not guaranteed.
  • Risk in Goods passes to you upon delivery to the carrier or collection by you. Title in Goods passes only once full payment has been received.
  • We are not liable for delays caused by third-party carriers, customs, or events outside our reasonable control.

    6. Cancellation and Refunds

    • Consumers may cancel an Order prior to production of Goods or commencement of Services. After that point, cancellation and refunds are subject to the terms agreed at the time of Order.
    • Where deposits are taken, the conditions for refund or forfeiture will be confirmed at the time of Order.
    • Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

    7. Limitation of Liability

    • To the fullest extent permitted by law:
      • We are not liable for any indirect, incidental, or consequential loss, including loss of profits, business interruption, or damage to other property.
      • We are not liable for damage or injury arising from incorrect installation, misuse, or modification of Goods, or from reliance on consultancy advice implemented without proper verification.
      • Our total liability for any claim shall not exceed the amount paid by you for the relevant Goods or Services.
    • Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

    8. Force Majeure

    • We will not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to industrial action, supply chain disruptions, natural disasters, or government restrictions.

    9. Data Protection and Privacy

    • We process personal data in accordance with UK data protection laws, including the UK GDPR and Data Protection Act 2018.
    • Your personal information will be used only to fulfil your Order, manage your account, and comply with legal obligations, unless you consent to other uses.

    10. Governing Law and Jurisdiction

    • These terms are governed by the laws of England and Wales.
    • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
